Creator Agreement

1. Eligibility and application

• You must be at least 18 years old and legally capable of entering into this Agreement.
• You apply via your Vaexi account, describing the Avatar you want to create (background, languages, topics, tone).
• We review applications at our discretion and may approve, reject, or request changes. Approval does not guarantee ongoing publication rights — you must continue to comply with this Agreement and our policies.

2. Identity verification

• Before publishing any Avatar, you must complete a government-ID identity check with our verification partner, [ID VERIFICATION PROVIDER NAME].
• You submit your ID document (and, if required, a liveness/selfie check) directly to the verification partner. The document and any biometric data extracted from it are processed under the verification partner's own terms; Vaexi stores only the verification result (pass/fail and badge status), as described in our Privacy Policy.
• This check confirms your identity only — it is not a qualification, background, or DBS/criminal-record check, and we do not represent it as such.
• We may require re-verification periodically or if we have reason to believe your account has been compromised.

3. Creator Content and licence to Vaexi

• "Creator Content" means any Content submitted, uploaded, created, configured or otherwise provided by a Creator in connection with an Avatar, including persona information, topics, correction preferences, reference materials and other materials provided by the Creator.
• You retain ownership of your Creator Content.
• You grant Vaexi a worldwide, royalty-free, non-exclusive licence to host, reproduce, adapt (e.g., to fit technical formats), and use your Creator Content to configure, operate, and improve your Avatar and the Service generally, for as long as your Avatar remains published, and for a reasonable period afterwards to comply with legal, backup, or dispute-resolution needs.
• You may request removal of your Creator Content and Avatar at any time; we will remove it from public availability promptly, subject to Section 8 (retention of records) and any conversations already had with Learners before removal.

4. Your warranties

You confirm that:

• You own, or have all necessary rights and licences to use and upload, your Creator Content;
• Your Creator Content does not infringe any third party's intellectual property, privacy, or other rights;
• Your Creator Content does not contain another identifiable person's personal data unless you have a lawful basis and their consent to include it;
• If your Avatar is based on your own persona, biography or teaching style, the information you provide is accurate and not misleading as to your qualifications (see Section 5);
• Your Avatar and Creator Content comply with our Acceptable Use Policy at all times.

5. No implied qualifications

The "Identity verified" badge and Creator status confirm identity, not any teaching qualification, professional licence, or subject-matter credential. You must not represent yourself or your Avatar as holding a qualification you do not hold. If you do hold a relevant qualification and want to state this on your profile, you may be asked to provide supporting evidence.

6. Monetisation

• The Service is currently free to Learners during the beta period, and Creators are not currently paid for Avatar usage.
• If and when we introduce monetisation for Creators (e.g., revenue share based on Learner engagement), we will provide separate commercial terms, which you must accept before they apply, including payment terms, tax responsibilities, and any minimum thresholds.

7. Moderation and removal

• We may review, restrict, or remove any Avatar or Creator Content, and suspend or terminate Creator status, if we reasonably believe it breaches this Agreement, our Acceptable Use Policy, or applicable law, or poses a risk to Learners (particularly minors).
• Where practical, we will notify you and give you an opportunity to respond before taking action, except where we believe immediate action is necessary for safety or legal reasons.

8. Data protection

• You must handle any personal data you encounter through the Service (for example, in aggregated Learner engagement statistics we may share with you) in accordance with UK GDPR, and only for the purpose of understanding and improving your Avatar.
• You must not attempt to identify individual Learners from aggregated statistics, or use any such data for a purpose other than operating your Avatar via Vaexi.
• Vaexi's handling of your own personal data (application details, ID verification result) is described in our Privacy Policy.

9. Indemnity

You agree to indemnify and hold Vaexi harmless against reasonably foreseeable claims, losses and costs (including reasonable legal fees) arising from your breach of Section 4 (warranties) or the Acceptable Use Policy, except to the extent caused by our own breach or negligence. This does not exclude or limit either party's liability where such exclusion or limitation is not permitted by law.

10. Term and termination

• This Agreement applies for as long as you act as a Creator on the Service.
• Either party may terminate by written notice (email is sufficient) at any time. On termination, your Avatar(s) will be unpublished; Sections 3 (licence, as to prior use), 4, 8, 9 and 11 survive termination.

11. Governing law

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory consumer protections that apply where you are acting as a consumer rather than in a business capacity.
